Terms of Service

Please read these terms carefully before engaging our services.

These Terms of Service govern your access to and use of the services provided by Expert Matter Pvt. Ltd., a company incorporated under the Companies Act, 2013, with its registered office at Sector 62, Noida, Uttar Pradesh, India. By accessing our platform or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Agreement to Terms

By accessing or using the Expert Matter website and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our services. These Terms constitute a legally binding agreement between you ("Client", "you", or "your") and Expert Matter Pvt. Ltd. ("Expert Matter", "we", "us", or "our").

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through a notice on our website at least 30 days before they take effect. Your continued use of our services after such modifications constitutes your acceptance of the revised Terms.

2. Description of Services

Expert Matter operates a professional services platform that connects clients with verified legal professionals, chartered accountants, company secretaries, and compliance experts across India. Our services include, but are not limited to:

  • Business incorporation and registration (Pvt Ltd, LLP, OPC, etc.)
  • Legal consultation, contract drafting, and dispute resolution
  • Tax compliance, GST filing, and income tax return preparation
  • Intellectual property services including trademark, copyright, and patent filing
  • Wealth and asset recovery including IEPF claims and mutual fund recovery
  • Regulatory compliance and licensing assistance
  • Ongoing compliance management and advisory services

Expert Matter acts as a platform that orchestrates and manages the delivery of professional services. The actual professional services are rendered by verified and independent professionals who are registered with their respective regulatory bodies.

3. User Responsibilities

As a user of Expert Matter's services, you agree to:

  • Provide accurate, complete, and current information as requested for service delivery
  • Maintain the confidentiality of your account credentials and be responsible for all activities under your account
  • Promptly provide all documents, information, and authorisations necessary for the execution of your matter
  • Not use our services for any unlawful purpose or in violation of any applicable laws
  • Not misrepresent your identity or provide false information
  • Respond to communications from your case manager within reasonable timeframes to avoid service delays
  • Pay all fees and charges associated with your selected services in a timely manner

Failure to comply with these responsibilities may result in delays in service delivery, and Expert Matter shall not be held liable for any consequences arising from such non-compliance.

4. Payment Terms

All service fees are quoted in Indian Rupees (INR) and are exclusive of applicable Goods and Services Tax (GST) unless explicitly stated otherwise. Payment terms include:

  • Service fees are payable as per the payment schedule communicated at the time of engagement
  • Government fees, stamp duties, and statutory charges are billed separately at actuals
  • Payment can be made via UPI, net banking, credit/debit cards, NEFT/RTGS, or approved digital wallets
  • For subscription plans, fees are charged at the beginning of each billing cycle
  • Late payments may attract interest at the rate of 1.5% per month on the outstanding amount
  • Expert Matter reserves the right to suspend services in case of non-payment beyond 15 days of the due date

All invoices are generated electronically and shared via email. GST-compliant invoices are provided for all transactions.

5. Intellectual Property

All content, features, and functionality of the Expert Matter website—including but not limited to text, graphics, logos, icons, images, audio clips, data compilations, and software—are the exclusive property of Expert Matter Pvt. Ltd. and are protected by Indian and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any content from our website without our prior written consent, except as expressly permitted by these Terms.

Documents and work products created specifically for your engagement (such as legal opinions, compliance reports, and filed applications) are owned by you upon full payment of all associated fees. Expert Matter retains the right to use anonymised and aggregated data for platform improvement and analytics.

6. Confidentiality

Expert Matter treats all client information as strictly confidential. We are committed to maintaining the attorney-client privilege and professional confidentiality standards applicable to all services rendered through our platform.

We will not disclose your confidential information to any third party except:

  • To the specific professionals assigned to your matter, strictly on a need-to-know basis
  • Where required by law, court order, or applicable regulatory authority
  • With your explicit written consent
  • To protect the rights, property, or safety of Expert Matter, our clients, or others

7. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Expert Matter's total liability for any claim arising out of or relating to these Terms or our services shall not exceed the total fees paid by you for the specific service engagement giving rise to the claim.

Expert Matter shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Outcomes of legal proceedings, government applications, or regulatory decisions, as these are determined by courts, tribunals, or regulatory authorities beyond our control
  • Delays caused by government bodies, courts, or regulatory authorities
  • Damages arising from force majeure events including natural disasters, pandemics, government actions, or other events beyond reasonable control

This limitation of liability applies regardless of the legal theory on which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise.

8. Dispute Resolution

In the event of any dispute arising out of or in connection with these Terms or our services, the parties shall first attempt to resolve the dispute amicably through good-faith negotiation for a period of 30 days.

If the dispute is not resolved through negotiation, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties. The seat of arbitration shall be New Delhi, India, and the language of arbitration shall be English.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Subject to the arbitration clause above, the courts of New Delhi, India shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.

10. Termination

Either party may terminate the service engagement by providing 30 days' written notice. Upon termination:

  • All outstanding fees for services rendered up to the date of termination shall become immediately due and payable
  • Expert Matter will provide all case files, documents, and work products to the client within 15 business days
  • Confidentiality obligations shall survive termination for a period of 5 years
  • Refund eligibility upon termination is governed by our Refund Policy

Expert Matter reserves the right to terminate services immediately, without notice, if the client engages in fraudulent activity, provides false information, or violates any material provision of these Terms.
